Wyoming LLC for Non-Residents: 2026 Costs and Limits

That minimum is what most non-resident-owned LLCs pay, and the report is due the first day of your anniversary month. Miss it and the state administratively dissolves the company. It is cheap and it is well run. It also does not do the thing most people buy it for.

The annual cost

Wyoming charges an annual report license tax of $60 or two-tenths of one mill on the dollar of assets located in Wyoming, whichever is greater, due the first day of the anniversary month of formation.[1]

The mill rate applies to assets located and employed in Wyoming. A founder in Lagos or Karachi running a software business with a registered agent in Cheyenne has no Wyoming assets, so the calculation returns the minimum every year.

The minimum covers a few hundred thousand dollars of Wyoming assets. Above that the mill rate starts to exceed it and you pay the calculated figure instead.

Filing online adds a card processing fee, charged as a percentage with a small minimum.

The deadline that dissolves companies

"If the annual report is not filed within sixty (60) days following the due date, the entity will be administratively dissolved."

The due date is the first day of your anniversary month. If you filed on May 15, the report is due May 1 each year thereafter.

A Wyoming LLC is delinquent the day after its annual report due date, and is administratively dissolved if the report is still unfiled sixty days later.[2]

Sixty days is short, and the notice goes to your registered agent rather than to you. If your agent's mail forwarding is unreliable, the first you hear of it is when a bank or payment processor re-runs its checks and finds the company is no longer in good standing.

Put the anniversary month in a calendar the day you form.

What Wyoming genuinely gives you

Low, flat cost. The Wyoming minimum against Delaware's annual tax is a real difference for a company with no institutional investors.

No state income tax. Wyoming does not levy one on the entity.

A short, well-run filing process. The annual report is quick and the Secretary of State's guidance is clear, which is not true everywhere.

Privacy relative to some states, though not anonymity, and not from your bank.

What Wyoming does not give you

This is why the page exists.

It does not get you a bank account. Mercury tests where the founder lives:

"we're unable to open accounts for founders living in any of the countries and regions listed below."

Forming in Wyoming does not change where you live. If you are on Mercury's list or Relay's, a Wyoming LLC changes nothing about that application. This is the single most common false expectation in the category, and formation services rarely correct it.

It does not protect you from other states' taxes. California charges an annual tax to any LLC doing business there, whatever state formed it, and a Wyoming LLC with California nexus pays both. The figure and the test are on the California page.

It does not remove federal filings. A foreign-owned single-member LLC files Form 5472 with a pro forma 1120 regardless of state.

It does not give you anonymity from institutions. Banks collect beneficial ownership at onboarding under customer due diligence rules, and those did not change when BOI reporting ended for US-formed entities in August 2026.

When Wyoming is the wrong choice

You are raising institutional venture capital. US VCs expect a Delaware C corporation. Converting later is possible and costs money and time.

You have nexus in a specific state. If you are doing business somewhere in particular, forming in Wyoming adds a second state's filings without removing the first's.

You need a state-specific license. Some regulated activities are licensed where the work happens, and the formation state is beside the point.

You expect Wyoming to solve a banking problem. It will not, and the money is better spent finding an institution whose list you are not on.

What we could not verify

We did not retrieve Wyoming's formation filing fee or its reinstatement fee. The Secretary of State publishes a fee schedule PDF that did not parse, and we are not going to quote a formation cost from memory on a page whose subject is cost.

That gap will be closed at the next review. Until then, treat the annual figure as verified and the formation cost as something to confirm with the Secretary of State directly.

Questions people actually ask

How much does a Wyoming LLC cost per year? The annual report license tax at its minimum for most non-resident-owned LLCs, plus your registered agent's fee, which is a separate commercial cost. We have not verified the initial formation filing fee.

Will a Wyoming LLC get me a Mercury account? No. Mercury tests where the founder lives, and your formation state does not change that.

Why is the tax at the minimum when the formula mentions a mill rate? The rate applies to assets located and employed in Wyoming. Most non-resident-owned LLCs have none, so the minimum applies.

What happens if I miss the annual report? You are delinquent shortly after the due month and administratively dissolved not long after that, on the timetable quoted above. Notice goes to your registered agent.

Wyoming or Delaware? Wyoming if you are bootstrapping and want the lower cost. Delaware if you are raising institutional venture capital, where its case law and investor familiarity are worth the higher annual tax.
