Registered Agent vs Virtual Address: What Gets Accepted

A registered agent is a statutory requirement. Every state demands one with a physical address in that state, and its job is to be findable when someone sues you or the state needs to reach you. That is the entire function.

A virtual address is a commercial product. It gives you a street address that is not a PO box, usually with scanning. It has no legal status.

Mail forwarding is a logistics service. It moves physical post to wherever you are.

The three get sold together and blur into one purchase, which is where the trouble starts.

Providers ask for different addresses and they mean different things. Getting these straight solves most rejections.

Registered agent address. The agent's address. This is the only field where it belongs.

Business address. Where the company operates. Some providers require this to be in the US. Shopify is explicit:

"Shopify Payments in the United States supports business addresses in the 50 states and Puerto Rico only."

Physical location where the majority of business activity happens. Stripe's field, and it is not the same as the business address:

"All businesses must provide the address of the physical location where the majority of your business activity is carried out (PO Boxes are not accepted)"

If you work from Lagos, that is Lagos.

Representative's residential address. Where the human being lives. Shopify requires the truth here and builds a feature on it:

"If the account representative doesn't have an SSN or ITIN, then ensure their residential address is correctly set to their home outside of the United States."

Entering a US address in that field suppresses the passport upload option you need.

Most institutions decline an address without telling you why. Two publish the rule, and between them they cover most of what a formation package sells you.

Mercury, on what qualifies as the principal place of business:

Have a U.S. or international address for its principal place of business - residential addresses are accepted, but registered agent addresses, P.O. boxes, and UPS Store addresses are not

Wise, on the same field:

This address has to be a physical location, we can't accept - PO boxes (except military PO boxes) / Registration agencies / Mail forwarding services / Virtual addresses

Line those up against the four fields above and the conclusion is uncomfortable: your own home address abroad is more acceptable to both than the US address you paid for. Mercury says residential addresses are accepted and international addresses are accepted. Wise wants a physical location. Neither wants your agent.

The registered agent address exists to receive service of process, and it does that job. It was never a business address, and the two providers above are simply saying so out loud.

Buying a virtual address and putting it in all four fields.

It is understandable. You formed a US company, you bought a US address, and the American-looking answer feels like the safe one everywhere. But two of those four fields are asking factual questions about physical reality, and a mail-scanning service in Cheyenne is not the answer to either.

Stripe's field asks where the work happens. Shopify's residential field asks where you sleep. Both are checkable, and Shopify actively renders a different interface based on the answer.

Different question again, and this one is about you rather than the company.

Banks verifying a beneficial owner want evidence of the person's residential address: a utility bill, a bank statement, a government letter, in your name, at your home. Not the company's address. Not the registered agent.

This is customer due diligence, it is separate from the BOI reporting that ended for US-formed entities in August 2026, and it did not change.

A virtual address does not satisfy it and attempting to use one there is a misrepresentation rather than a shortcut.

A registered agent. Not optional. Your state requires it.

A US business address, if you need one for a provider that requires the business to be in the US, like Shopify Payments. A virtual address can serve here.

Mail forwarding, only if you expect physical post that matters. Most founders do not, beyond state notices which the registered agent already handles.

Nothing at all for Stripe's physical-location field or a bank's proof of address. Those want the truth about where you are.

Can I use my registered agent's address as my business address? Sometimes, for filings and correspondence. Not for Stripe's physical-location field, and not as anyone's residential address.

Is a virtual address a PO box? Usually not technically, which is the point of the product. Some mailbox services are effectively PO boxes and Stripe excludes those outright, so check what you are buying.

Do I need a US address at all? For the registered agent, yes, in your formation state. For a business address, only where a provider requires the business to be in the US. For your own residential address, no, and giving one would be false.

Will a foreign address on my Stripe account cause problems? It is what the field asks for. Stripe states that registered US businesses qualify even when operating in another country.

Can my bank's proof of address be the virtual mailbox? No. Banks verifying you as a beneficial owner want evidence of where you live.
