US Tax for India-Resident LLC Owners, and What to Ask

Quick answer

Two systems, and only one of them can be described accurately on a page written for everyone. The US side is below, sourced. The Indian side needs a chartered accountant, and the most useful thing this page can do is tell you precisely what to ask them.

The US side, which is knowable

A treaty exists. India appears in the IRS list of United States income tax treaties, checked September 1, 2026. That matters, because it means there is a framework allocating taxing rights and providing relief mechanisms. Founders in Nigeria and Brazil do not have one.

Whether you owe US income tax turns on one test:

"A foreign person generally must be engaged in a U.S. trade or business during the tax year to treat income received in that year as ECI, which is taxable in the U.S."

IRS, Effectively Connected Income (ECI). Page last reviewed or updated August 18, 2026. Owning a US LLC does not by itself make you engaged in a US trade or business, and it does not by itself avoid it. That is fact-specific.

You file annually regardless of the answer:

Failing to file Form 5472 when due and in the manner prescribed carries a $25,000 penalty.[1]

Form 5472 with a pro forma Form 1120, on paper, due April 15, extendable to October 15. It is an information filing and it is due in a year with no income at all.

The Indian side, which is not

India taxes residents on worldwide income and has a substantial regime governing residents who hold and fund foreign entities. That regime includes exchange control, outbound investment reporting, and the treatment of income received from abroad.

We have not verified any of it and this page states none of it. Summarizing another country's tax and exchange-control law from memory, on a page a founder might act on, is the failure mode this entire site exists to avoid.

What we can do is tell you what to put in front of a chartered accountant.

What to ask your CA, and why each question matters

"Am I resident in India for tax purposes this year, and what does that make me liable for?" Everything downstream depends on this and it is not always obvious for people who travel.

"How should the funds I sent to capitalize the US LLC have been remitted, and did I do it correctly?" Money leaving India to fund a foreign entity sits inside the exchange-control regime. If it was done wrongly, finding out now is much better than later.

"Does my ownership of this entity create a reporting obligation, and have I missed any?" Reporting obligations for residents holding foreign entities exist and carry consequences. Ask specifically what forms and what deadlines.

"How is income I draw from the US LLC treated, and when?" On receipt, on accrual, or on some other basis. This determines your timing and your cash flow.

"How does the India-US treaty apply to my situation, and what do I need to claim relief?" A treaty exists; using it usually requires specific documentation and sometimes a specific filing.

"If I owe US tax on some income, how does that interact with what I owe here?" The foreign tax credit mechanism is the answer in outline, and the details matter.

"What are the GST implications of invoicing from a US entity?" This catches service businesses and is frequently missed.

Take the answers in writing.

What to bring to that meeting

Your formation documents and EIN letter. A statement of what you transferred to the company and when. A record of what you have drawn out. Your US filings, or the fact that you have not made them. Your Indian residency days for the year.

The single biggest cause of a bad answer is an incomplete question.

The two mistakes this page exists to prevent

Believing a US LLC is tax-free. It is not a rule that exists, in either direction, and the people selling it are selling something.

Believing the US filing and the Indian filing are the same problem. They are separate obligations under separate systems. Form 5472 is due whether or not you owe US tax and whether or not you have settled anything in India.
